changes made by the Southern Baptist Convention was or¬
dered recorded:
From the Report of the Efficiency
Committee.
3. We agree with the opinion that our three Boards should
be constituted representatively, and that as far as is consistent
with effective work the members of the Board should be drawn
as widely as possible from the territory of the Convention. Here
we desire to call attention to the fact that according to the con¬
stitution the State Vice-Presidents are active members of the
Boards, entitled to all the rights and privileges of the local mem¬
bers. The constitution gives to each state the right to nominate
its Vice-Presidents for the several Boards. In this way every
state already has a voice in the management of the affairs of
the Boards, and representation on the Boards is distributed
throughout our entire territory. We most heartily commend the
course pursued by the Boards in recent years of paying the ex¬
penses of the Vice-Presidents to one annual meeting. We would
urge all these state members who can do so to attend any or
all of the regular meetings of the Boards. In order that their
name may more accurately define the duties and privileges of
these state representatives, now known as Vice-Presidents, we
recommend thaUffie constitution and by-laws be so changed that
they shall be called state members or managers instead of Vice-
Presidents.
4. We recommend that the constitution and by-laws be so
amended as to renuire that no Secretary or other paid employee
of — ’v Board shall be a member of ti e Board
PROPOSED AMENDMENTS TO THE CONSTITUTION AND
BY-LAWS.
In order to carry out the recommendations of the Report
of the Efficiency Commission, the following amendments to the
Constitution and By-Laws are proposed and hereby moved:
That in Article V of the Constitution the sentence beginning.
"Each Board shall consist,” and ending with “Treasurer,” be
stricken out and the following language be inserted in lieu there¬
of, "Each of these Boards, as elected by the Convention, shall
consist of one member from each state cooperating with the
Convention, and of a President, Recording Secretary. Auditor,
and fifteen other members residing at or near the locality of the
Board. No salaried official or employe of any Board may be a
member thereof; bu‘ the Convention shall elect for each Board
annually a Corresponding Secretary, who may also be named by
the Board as its Treasurer if deemed desirable. In case of va¬
cancy occurring between the meetings of the Convention, the
Boards are authorized to till such vacancy. Each Board may
elect other Secretaries, a Treasurer, and such other paid offi
cers and employes as may be necessary for the efficient conduct
of its business, and may make such compensation to its Secre¬
taries and other paid officials as it may deem right.”
Further, that the last sentence in Article V, beginning. "Each
Board" be stricken out and the following be inserted, "Each
Board shall be authorized to fill vacancies occurring in Its mem¬
bership between the meetings of the Convention, and also to
enact its own by-laws.”
Further, that in the By-l>aws wherever the term Vice-Presi¬
dent (referring to state members) occurs the term state members
be substituted, to wit: In By-Law 5 (5), line 7, in By-Law 9,
lines 1, 7, 15, and in By-Law 11. line 5.
Further that in By-Law 9, the sentence beginning with the
words, “In case any Vice-President,” and ending with the word
"contributions" be stricken^out.^ ^ _
